1. SERVICE PROVIDER PROFESSIONAL BACKGROUND

Fabian Vizcaino operates as an independent contractor/sole proprietor providing educational consultation services. Service Provider brings the following qualifications:

Bachelor of Science in Business Administration - California Polytechnic University, Pomona
6 years of service in the U.S. Navy
7 years as a banker serving ultra-high-net-worth clients at three major global banking institutions
Licensed Life and Health Insurance Agent in multiple states (license numbers available upon request)
Real Estate Broker License (North Carolina) - obtained for educational purposes only
Collaborator as a Generative AI Data Scientist specializing in financial data and wealth patterns

This diverse background provides comprehensive insights into traditional wealth strategies, emerging financial technologies, and real-world applications used by ultra-high-net-worth individuals.


2. SERVICES PROVIDED

Educational Consultation Services Only

Service Provider offers educational consultation services focused on teaching high-level, highly efficient wealth creation, scalability, and protection concepts utilized by affluent individuals. All consultations are conducted exclusively through online video conferencing (Zoom or similar platforms).

What We DO Provide:

• Educational consultation on wealth-building personal equity strategy
• Wealth, equity, capital, and cash flow education and protection tools
• Real estate investment education (North Carolina Real Estate Broker perspective)
• Financial technology awareness and education
• Custom, personal, and private asset, capital, and wealth protection strategy education

What We DO NOT Provide:

• Financial planning advice or services
• Investment recommendations or advice
• Securities or investment product sales
• Accounting services or tax advice
• Legal advice
• Banking services
• Real estate transaction services or agent representation
• Technology consulting or AI implementation services
• Personalized financial strategy recommendations

All consultations are educational and designed to share knowledge about wealth-building concepts. These strategies, while used by ultra-wealthy individuals, can be adapted and scaled for various wealth levels. Clients are responsible for independently evaluating all information and consulting appropriate licensed professionals before making any financial, investment, real estate, or business decisions.


3. INSURANCE SERVICES DISCLOSURE

Professional Insurance Status

The Service Provider is a licensed Life and Health Insurance Agent in multiple states and operates as an independent insurance broker, with agreements in place with various insurance companies to provide insurance policy consultation upon request and submission of applications by clients.

Specialized Insurance Education Focus

Service Provider specializes in educating clients about highly customized, private wealth protection insurance contracts and tools used by the ultra wealthy:

• Borrowing capabilities for wealth leverage
• Death benefit optimization for estate planning
• Tax reduction and income tax elimination strategies
• Private wealth accumulation and protection

All insurance education focuses on custom policy design concepts. When applications are submitted, the Service Provider works exclusively with insurance companies that can design and issue customized wealth creation and protection insurance contracts meeting specific client objectives. These products remain subject to all applicable insurance regulations and state oversight.

Third-Party Company Relationships

Service Provider operates as an independent insurance broker specializing in custom wealth protection insurance contracts. Service Provider works exclusively with insurance companies that can design and issue customized policies with borrowing capabilities and tax optimization features.

Service Provider may receive commissions from insurance companies for policies issued. A complete list of specialized insurance company partners is available upon request. Service Provider has no obligation to recommend products from any specific company but focuses only on insurers capable of custom policy design.

All financial and insurance services are subject to the regulations of the client's state of residence and oversight by the applicable state insurance department.

Tax Strategy Education Disclaimer

Discussions of tax reduction, income tax elimination, and private wealth strategies are for educational purposes only. Service Provider does not provide tax advice or guarantee tax outcomes. All tax strategies require:

• Verification with qualified tax professionals
• Review of individual tax circumstances
• Compliance with current tax laws and regulations
• Understanding that tax laws may change

Service Provider is not a tax advisor, CPA, or tax attorney. Clients must consult appropriate tax professionals before implementing any tax strategies discussed.


4. REAL ESTATE EDUCATION DISCLAIMER

Service Provider holds a Real Estate Broker License in North Carolina, obtained for educational purposes to better understand real estate as a wealth-building strategy.

Service Provider does NOT provide:

• Real estate agent services
• Real estate sales representation
• Real estate transaction services

6. ONLINE SERVICE DELIVERY TERMS

Platform Requirements

All services are provided exclusively through online video conferencing via Zoom or similar platforms. By booking consultation services, the Client acknowledges and agrees to:

• Maintain a reliable internet connection and appropriate technology for video conferencing
• Service Provider may record sessions for quality assurance and compliance purposes (with advance notice)
• Client is responsible for ensuring privacy and confidentiality of their location during calls
• Technical difficulties or connection issues do not constitute grounds for refund
• All communications must be conducted through authorized platforms only
• Service Provider assumes no responsibility for technology failures or third-party platform issues

Communication Protocols

All consultation bookings, confirmations, and follow-up communications will be conducted exclusively through official email channels. Unauthorized platforms or communications are not permitted.


7. ENHANCED LIMITATION OF LIABILITY

Educational Content Disclaimer

Service Provider's educational consultation services are provided "as is" for educational purposes only. Client expressly acknowledges and agrees that:

a) Service Provider makes no representations or warranties regarding the accuracy, completeness, or applicability of educational content to Client's specific circumstances

b) Client assumes full responsibility for all decisions made based on educational content provided

c) Service Provider's total liability shall not exceed the consultation fees paid by Client for the specific consultation session(s) directly related to any claim

d) Service Provider shall not be liable for any financial losses, missed opportunities, or adverse outcomes resulting from Client's independent decisions

e) Educational content is based on general concepts and may not be suitable for all individuals or circumstances

f) Client acknowledges that learning wealth-building creation and protection educational content depends on focus, attention, understanding, communication, and execution

Insurance Services Liability

For custom personal equity strategy design and product applications (when applicable):

• Service Provider's role is limited to education and facilitating applications for custom wealth protection insurance contracts
• Policy performance, cash value growth projections, and borrowing capabilities are subject to insurance company underwriting and policy terms
• Tax benefits and strategies discussed are educational concepts and require verification with qualified tax professionals
• Service Provider makes no guarantees regarding policy performance, tax outcomes, or borrowing availability
• Custom policy illustrations are projections, not guarantees, and actual results may vary
• Death benefit amounts and cash value accumulation depend on premium payments, policy performance, and insurance company operations

Real Estate Education Liability

Real estate market conditions, property values, and investment outcomes are subject to numerous factors beyond the Service Provider's control. Educational content about real estate investing does not constitute property-specific advice or market predictions.

Professional Background Disclaimer

Past banking experience does not guarantee future results or outcomes. Wealth strategies observed in high-net-worth environments may not be suitable for all individuals or circumstances. All educational content requires independent verification and professional consultation before implementation.


8. PROFESSIONAL BOUNDARIES AND COMPLIANCE

Scope of Services Limitation

Service Provider operates within strict professional boundaries:

• Educational consultation services do not constitute professional advice relationships
• No fiduciary duty is created through educational consultations
• Service Provider does not assume responsibility for Client's financial decisions or outcomes
• Insurance services (when applicable) are provided as a licensed independent broker, not as a financial advisor
• Clients requiring personalized financial, investment, legal, or tax advice should consult appropriately licensed professionals

Multi-State Regulatory Compliance

Service Provider maintains insurance licenses in multiple states and will obtain additional licensing as required by client demand. All insurance activities comply with applicable state regulations and are subject to state insurance department oversight.

Confidentiality Protection

All educational content is based on general wealth principles and publicly available strategies. No confidential client information from previous banking relationships is shared or referenced.


9. SUBSCRIPTION, PRICING AND PAYMENT

Consultation services are provided on a fee-for-service basis. All fees are clearly disclosed before services are rendered. Payment is required before or at the time services are provided through authorized payment processors (Stripe or similar).

Insurance commission disclosure: When insurance products are purchased, Service Provider may receive commissions from insurance companies in addition to consultation fees.

All consultation retainers are non-refundable once services have been provided. All calls and meetings booked are subject to a retainer. A no-show or same-day cancellation is subject to a 50% refund. Please cancel 24 hours before your appointment if unable to attend.


10. PROHIBITED USES AND CLIENT OBLIGATIONS

Client agrees not to:

• Use services for any unlawful purpose or in violation of these Terms
• Record sessions without express written permission
• Share proprietary educational content without written authorization
• Attempt to create advisor-client relationships beyond the scope of educational consultation
• Misrepresent the nature of services received


11. INTELLECTUAL PROPERTY

All educational content, methodologies, and materials provided during consultations remain the intellectual property of Service Provider. Client receives a limited, non-transferable license to use information for personal implementation purposes only.


12. INDEMNIFICATION

Client agrees to hold harmless and indemnify Service Provider from any third-party claims arising from Client's use of educational content or independent decisions made following consultations.


13. TERMINATION

Either party may terminate the service relationship at any time. Service Provider reserves the right to refuse service to any prospective client.


14. GOVERNING LAW

These Terms shall be governed by the laws of the State of North Carolina, United States of America.


15. ARBITRATION CLAUSE

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Asheville or Charlotte, North Carolina, before one arbitrator. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and Mediation Procedures, or such other rules as the parties may agree upon.

Arbitrator Selection. The arbitrator shall be selected pursuant to the AAA Commercial Arbitration Rules. The arbitrator shall have substantial experience in commercial disputes and the subject matter of this Agreement.

Location and Governing Law. The arbitration proceedings shall take place in Asheville or Charlotte, North Carolina. This Agreement and any arbitration proceeding shall be governed by the laws of the State of North Carolina, without regard to its conflict of laws principles.

Arbitration Award. Judgment on the award may be entered in any court having jurisdiction. The arbitrator's award shall be final and binding upon the parties and their successors and assigns.

Costs and Fees. Each party shall bear its own costs and attorneys' fees, and the parties shall share equally the arbitrator's fees and administrative costs of arbitration, unless the arbitrator determines that one party is the prevailing party, in which case the arbitrator may award reasonable attorneys' fees and costs to the prevailing party.

Confidentiality. The arbitration proceedings, including any awards, shall be confidential and shall not be disclosed to any third party without the written consent of all parties, except as may be required by law or to enforce the arbitration award.

Exceptions. Notwithstanding the foregoing, either party may seek preliminary or injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information, or to prevent irreparable harm.

Severability. If any portion of this arbitration clause is deemed invalid or unenforceable, the remainder shall remain in full force and effect.


16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between parties and supersede all prior agreements or understandings.
